1. Our services

NBS provides subscription-based ecommerce, storefront-control and related professional services. Services must not be used where their use would be unlawful or would require compliance with standards that NBS has not expressly agreed to support. Customers remain responsible for determining whether the Services are appropriate for their regulatory and operating context.

2. Intellectual property rights

NBS retains all rights, title and interest in its tools, platforms, software, website design, source code, functionality, branding, methodologies, know-how, templates and pre-existing materials (“NBS IP”). NBS IP is licensed to the Client only for internal business use in connection with the Services. No ownership rights are transferred unless expressly agreed in writing.

Deliverables created specifically for a Client and paid for in full (“Work Product”) belong to the Client to the extent permitted by law. The Client grants NBS a non-exclusive right to reference or display non-confidential Work Product for portfolio and case-study purposes, provided confidential or proprietary information is removed or anonymised.

• Clients may not use NBS IP outside the agreed scope without prior written consent.
• NBS will not commercially exploit Client Work Product beyond the rights expressly granted.

3. User representations

By using the Website or Services, you confirm that you have legal capacity and authority to accept these Terms, that you are of legal age, and that your use complies with applicable laws.

• Do not use the Services for unlawful or unauthorised purposes.
• Do not attempt unauthorised access or misuse automated systems.
• Provide accurate information when purchasing or communicating with NBS.

4. Purchases and payment

You agree to provide current and accurate billing information and to pay all agreed fees and applicable taxes. Prices may change, and NBS may correct genuine pricing errors. Available payment methods and payment processors are shown during the applicable ordering or contracting process.

5. Subscriptions

A subscription continues for the agreed billing period and renews automatically where the applicable order states this. You authorise recurring charges based on the selected billing cycle.

You may cancel in accordance with the applicable order or customer process. Cancellation takes effect at the end of the current billing term unless otherwise agreed. NBS may change subscription fees with reasonable advance notice and subject to applicable law. Questions may be sent to hello@noboringshops.com.

6. Refund policy

Sales are final unless the applicable order, mandatory law or a written agreement provides otherwise. NBS may evaluate exceptional refund requests case by case. Contact NBS promptly if you believe a renewal or charge is incorrect.

7. Prohibited activities

The Website and Services may be used only for their intended business purposes.

• Do not systematically scrape, copy or compile NBS content without permission.
• Do not impersonate others, mislead users or attempt unauthorised access.
• Do not bypass security controls or interfere with service operation.
• Do not upload malware, spam or harmful content.
• Do not reverse engineer proprietary software except where mandatory law permits it.
• Do not use NBS IP to compete with NBS or for an unauthorised commercial purpose.

8. User contributions

NBS does not generally provide public posting functionality. If you submit comments, suggestions, files or other material, you confirm that you have the necessary rights, that the material is accurate and lawful, and that it does not infringe third-party rights or contain harmful content.

9. Contribution licence

You retain ownership of content you provide. You permit NBS to access, store, process and use it as necessary to provide the Services and as described in the Privacy Policy. Feedback and suggestions may be used without compensation unless otherwise agreed.

10. Third-party websites and content

The Services may link to third-party websites, software or content. NBS does not control or guarantee third-party content, availability or policies. Your use of third-party services is at your own risk and subject to the third party’s terms and privacy policy.

11. Services management

NBS may monitor use for compliance, restrict unlawful or harmful activity, protect the integrity and security of the Services, manage excessive system load and take appropriate legal action where necessary.

12. Confidentiality

Each party must protect non-public, proprietary and commercially sensitive information received from the other party, use it only to perform the agreement, and disclose it only to people who need to know and are bound by equivalent obligations.

Confidentiality does not apply to information independently developed, lawfully known, publicly available without breach, received lawfully from another source, or required to be disclosed by law. These obligations continue for three years after termination unless another written agreement states otherwise.

13. Privacy policy

Personal data is processed in accordance with the NBS Privacy Policy. By using the Services, you acknowledge that policy and the processing necessary to provide the Website and Services.

14. Term and termination

These Terms remain effective while you use the Website or Services. NBS may restrict, suspend or terminate access where you breach these Terms, applicable law or the security of the Services. Termination does not prevent either party from exercising rights that accrued before termination.

15. Modifications and interruptions

NBS may modify, update or remove parts of the Services. Although NBS aims to provide dependable service, uninterrupted availability is not guaranteed. Maintenance, technical problems or external events may cause delays or interruptions.

16. Governing law

These Terms and use of NBS Services are governed by German law, subject to mandatory rules that apply to the User. The contractual documents or applicable order may specify the competent jurisdiction.

17. Dispute resolution

The parties should first attempt to resolve disputes through good-faith negotiation for at least 30 days after written notice. Where agreed and legally permissible, unresolved disputes may be submitted to arbitration under the rules of the German Arbitration Institute (DIS), seated in Munich and conducted in German. Claims relating to intellectual property, privacy, unauthorised use or injunctive relief may be brought directly before a competent court.

18. Corrections

NBS may correct typographical errors, inaccuracies or omissions in descriptions, pricing and availability and may update Website information without prior notice.

19. Disclaimer

To the fullest extent permitted by law, the Website and Services are provided on an “as-is” and “as-available” basis. NBS does not guarantee that every item of content or third-party material is complete, uninterrupted or error-free. MarketReady identifies observable storefront conditions and compliance-relevant exposure; it does not replace the merchant’s qualified legal counsel.

20. Limitations of liability

Liability is limited to the fullest extent permitted by applicable law. NBS is not liable for indirect, consequential, exemplary, incidental, special or punitive loss, including loss of profit, revenue or data, except where such exclusion is prohibited. Any contractual liability cap is subject to the applicable order and mandatory law.

21. Indemnification

To the extent permitted by law, you agree to indemnify NBS and its personnel against third-party claims arising from your unlawful use of the Services, breach of these Terms, misrepresentation or infringement of third-party rights. NBS may control the defence of an indemnified matter and will notify you where reasonably possible.

22. User data

NBS may maintain data submitted to the Services as necessary to provide, secure and improve them. Customers remain responsible for retaining appropriate copies of data they submit and for ensuring that their instructions and data are lawful.

23. Electronic communications and signatures

You consent to electronic communications and agree that electronic notices, agreements, orders and signatures satisfy applicable written-form requirements to the extent permitted by law.

24. Miscellaneous

These Terms, the Privacy Policy and the applicable order form the agreement for use of the Services unless a signed agreement states otherwise. A failure to enforce a provision is not a waiver. Invalid provisions are severed to the minimum extent necessary, and the remaining provisions continue in effect. Neither party creates a partnership, employment or agency relationship by accepting these Terms.
